Mergers and Acquisitions (M&A) Advisory :

Pursuing inorganic growth through acquisitions as well as divesting non-core businesses can lead to huge value creation in today's dynamic business environment. We work closely with our clients in their M & A or divestment plans from strategy formulation to execution.

Typically our engagement would cover

  • Advise on the need for M&A or divestiture - establishing sound economic rationale for the same. The questions we ask in case of M&A - How will the acquisition be earnings accretive? Would it bring economies of scale, cost reduction, market expansion, technological advancement, etc., and resultant ROI scenario? Similarly, the questions we ask in case of divestitures - What are the reasons for selling out? Are there scale-up challenges, business saturation, succession issues, excessive leverage, other financial compulsions, unhealthy competition, etc., and whether there is a high probability of fetching optimal price?
  • Preparation of deal collaterals - We carry out in-house research & analysis to create financial models and presentation on the opportunity and create a strong commercial rationale for potential buyer or seller.
  • Buyer/Seller search - Backed by an extensive network of relationships, we carry out a search & procure expression of interest from buyer(s) or seller(s) (as the case may be) with a focus on business synergies, risk mitigation and cultural fitment for both parties.
  • Facilitating hand-shake – Assistance in negotiation of deal terms to include valuation, pay-out structure, closing conditions, etc., and execution of an appropriate MOU or term sheet.
  • Facilitating due diligence and documentation - Assisting clients in making the due diligence exercise seamless and efficient, coordinating drafting, negotiation and finalization of definitive agreements with the help of legal counsels.
